By accessing or using our Site or Services, you confirm that you have read, understood, and agree to comply with these Terms and Conditions, including our Privacy Policy, as amended from time to time. If you are a parent, guardian, or caregiver using our services on behalf of a minor or someone under your care, you represent that you have the legal authority to do so. If you are under 18 years of age, you are not permitted to use the Site or Services without the consent of a parent or guardian.

To use our Services, you must be at least 18 years of age or have the legal capacity to form a binding contract. If you are using our Services on behalf of a minor or an individual with a developmental disability, you must have the authority to consent to the Terms and Conditions on their behalf. We reserve the right to terminate Services at any time, for any reason, in our sole discretion, including, without limitation, terminating or suspending access to all or part of the Site or Client Portal.

JtC AUSM offers EIDBI services, including but not limited to behavioral therapy, assessments, skill development, and other related services for individuals on the autism spectrum or with developmental disabilities. The specific Services provided will be outlined in your individualized service plan, and we reserve the right to modify or change the services offered as necessary.

To access certain features of our Services, including, without limitation, completing intake forms, viewing appointments, and accessing other service-related information, you must register for a Client Portal account. When registering, you agree to provide accurate, current, and complete information about yourself or the individual receiving services. You are responsible for maintaining the confidentiality of your Client Portal login credentials and for all activities that occur under your account. Information, documents and communications published by us on the Client Portal are provided as a convenient resource to you, and may be used for informational purposes only. The information contained in the Client Portal, or provided as part of the Services, should not be used as a substitute for consultation with professional accounting, health, tax, legal or other competent advisors. If you have any issues accessing your Client Portal or require assistance, please contact us.

You agree to use the Site and Services only for lawful purposes and in a manner that is consistent with the mission of JtC AUSM. You may not use the Site or Services:

• •In any way that violates applicable federal, state, or local law.
• •To transmit any harmful, unlawful, or offensive content.
• •To attempt unauthorized access to any part of the Site or any system or network connected to the Site.
• •To infringe upon the intellectual property rights of others.

You may submit, post, or otherwise provide content related to the services on the Site ("User Content"). By submitting User Content, you grant JtC AUSM a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, modify, adapt, distribute, display, and perform such content in connection with the services we provide. You certify that the User Content you provide is accurate and that the information you provide through the Services, Client Portal or Site is complete.

We respect the confidentiality and privacy of individuals receiving Services through JtC AUSM. Your personal information, as well as any sensitive data related to the individuals you represent, will be handled in accordance with our Privacy Policy. We will comply with all applicable laws regarding the confidentiality of client records, including HIPAA (Health Insurance Portability and Accountability Act) where applicable.

JtC AUSM provides Services to clients covered by various insurance plans. If your insurance provider covers the full cost of your Services, you will not be responsible for additional payments beyond co-payments or co-insurance (if applicable).

If your insurance does not fully cover the cost of Services, you may be responsible for a deductible, co-payments, or other out-of-pocket expenses, depending on your specific plan. We will inform you in advance of any anticipated charges based on your insurance coverage.

You agree to pay all fees associated with the Services provided by JtC AUSM, as outlined in your service agreement. Payment terms and methods will be described in your agreement that is sent out with your intake forms, and failure to make timely payments may result in suspension or termination of Services.

We accept various forms of payment, including credit cards and electronic payments, and will work with you to set up a payment plan if necessary. You represent and warrant that you have the right to use any credit card or other means of payment that you provide to us. By providing payment information to us, you authorize us to store and use the information as a payment method for charges not otherwise covered by insurance. All billing information provided to us must be truthful and accurate. Providing any untruthful or inaccurate information is a breach of this Agreement and may result in termination or suspension of Services.

We reserve the right to suspend or terminate your access to the Site and Services at any time, for any reason. Termination will be subject to the terms of intake forms signed, and we may provide notice of termination or suspension as required.

The Site and Services are provided "as is" and "as available," without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the effectiveness of our Services, as individual results may vary depending on various factors. We do not make any representations or warranties of any kind, express or implied, as to the effectiveness of the Services or operation of the Site, or other items included on or otherwise made available to you. To the fullest extent permissible by applicable law, we disclaim all warranties, express, statutory or implied. You acknowledge, to the fullest extent provided by applicable law, your use of the Services or Site is at your sole risk.

To the fullest extent permitted by law, JtC AUSM will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or Services, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid, if any, to access the Site or Services. JtC AUSM will not be liable to you or to any other person under any circumstances or under any legal or equitable theory, whether in tort, contract, strict liability, or otherwise, for any indirect, special, incidental, or consequential losses or damages of any nature, even if an authorized representative of JtC AUSM has been advised of or should have known of the possibility of such damages.

You agree to indemnify and hold harmless JtC AUSM, its affiliates, and its respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising out of or in connection with your use of the Site or Services, your violation of these Terms, or your infringement of any third-party rights.

We reserve the right to modify or update these Terms at any time. Any changes will be effective when posted on this page, and the "Last Updated" date at the top of this page will be revised accordingly. Your continued use of the Site and Services after such changes constitutes your acceptance of the updated Terms.

These Terms and Conditions will be governed by and construed in accordance with the laws of the state of Minnesota, without regard to its conflict of law principles. Except for disputes that qualify for conciliation or small claims court, any dispute arising from these Terms will be resolved through final and binding arbitration in Burnsville or Saint Paul, Minnesota, in accordance with the rules of the American Arbitration Association. Except as otherwise provided herein, you agree that you are waiving your right to sue JtC AUSM in court and to have a trial by jury.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and JtC AUSM with respect to the use of the Site and Services and supersede all prior agreements or understandings, whether written or oral, regarding the subject matter.

In the event of typographical errors, technical mistakes, or inaccuracies on the Site, we reserve the right to correct such errors at our discretion, including after an order or agreement has been confirmed. We do not guarantee the accuracy or completeness of the information on the Site, as human errors and technical errors can occur, and we are not liable for any errors or omissions related to such content. Any such errors will not affect any contract or agreement unless otherwise specified.

By accessing or using our Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must discontinue using the Site and Services immediately.

• •Opt-Out: You may opt-out of receiving SMS messages at any time by replying STOP to any message you receive. Upon opting out, you will no longer receive further SMS notifications from us unless you opt back in at a later time.

• •Frequency: You can expect to receive periodic SMS messages related to your appointments or service updates. The frequency of messages may vary depending on the services you are receiving or your account status.
• •Message and Data Rates: Standard message and data rates may apply to SMS messages sent by or to JtC AUSM. Please check with your mobile carrier for information on potential charges related to these messages.
• •Privacy: Your personal information and phone number will be handled in accordance with our Privacy Policy, and we will not share this information with third parties except as necessary for the provision of our services.
